Terms of Service — Swick Global
Welcome to Swick Global (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our translation, localization, and related services for online content creators worldwide.
By using our services, you agree to these Terms. If you do not agree, please do not use our services.
1. Services Provided
Swick Global provides translation, localization, subtitling, and related creative services for digital content creators. We work primarily with platforms such as YouTube, TikTok, and Instagram. Services are delivered in accordance with the agreed project scope, timeline, and format.
2. Intellectual Property
- Client Content: You retain ownership of your original content. You grant us a limited, non-exclusive license to use your materials solely for the purpose of providing the agreed services.
- Translated Content: Upon full payment, you will own the translated versions we produce for you, except for any third-party licensed materials (e.g., voice talent, music) which remain subject to their respective licenses.
- Company IP: Our proprietary tools, processes, and non-client-specific templates remain the intellectual property of Swick Global.
3. Confidentiality
We treat all client content and related materials as confidential. We will not share, distribute, or disclose your materials to third parties except as necessary to provide the services, comply with the law, or with your prior written consent.
4. Payments & Taxes
- All fees are due as stated in your invoice or order confirmation.
- Washington State sales or use tax may apply to services purchased by Washington-based clients.
- Clients outside Washington are responsible for any taxes, duties, or fees applicable in their jurisdictions unless we are legally required to collect them.
5. Disclaimers & Limitations
- We strive for high-quality translations, but we cannot guarantee specific performance outcomes (e.g., increased views or engagement).
- Our liability for any claim related to the services is limited to the amount paid by you for the service in question.
- We are not responsible for changes in platform rules, third-party takedowns, or any indirect, incidental, or consequential damages.
6. Content Restrictions / Right to Refuse Service
Swick Global reserves the right to decline any project or content at our discretion. We may refuse service for content that:
- Is unlawful or violates applicable regulations.
- Contains offensive, discriminatory, or harmful material (including but not limited to hate speech, harassment, or adult content).
- Conflicts with Swick Global’s business values or operational policies.
By placing an order, you acknowledge that Swick Global may refuse or cancel a project at any time if the content falls into the above categories. Any fees paid for services not yet delivered may be refunded at our discretion.
7. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles.
You agree to the exclusive jurisdiction of the state and federal courts located in Clark County, Washington, USA. If you are a client outside the United States, you agree that disputes will still be resolved in this jurisdiction.
8. Compliance
We operate in compliance with the Washington Consumer Protection Act (RCW 19.86) and all applicable U.S. laws.
For international clients:
- If you are located in the European Union or United Kingdom, we process your information in accordance with the GDPR.
- If you are located in Japan, we comply with the Act on the Protection of Personal Information (APPI).
- We will also comply with other local data protection laws to the extent they apply.
9. Changes
We may update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services after updates means you accept the new Terms.
